Circle Provider Terms

These Provider Terms apply to Providers. They supplement and form part of the Global Mobility Circle Platform Terms (together, the "Terms"). Capitalised terms not defined here have the meaning given in the Platform Terms.

1. Who these Provider Terms apply to
1.1 These Provider Terms apply if you apply to join Circle, or participate in Circle, as a Provider — a business that provides global mobility or related professional services.
1.2 Providers join Circle for business purposes only. You must not apply or participate as a consumer.
2. Order of documents and conflicts
2.1 The Platform Terms and these Provider Terms together form a binding agreement between you and Sovium Ltd.
2.2 If there is any conflict between the Platform Terms and these Provider Terms, these Provider Terms prevail for Provider-specific matters (including fees, verification, membership, access, and refunds).
3. Provider membership, access, and team
3.1 Provider membership is controlled and subject to approval, verification, and ongoing compliance with Circle Standards and these Terms.
3.2 Provider membership typically includes onboarding and access to the Circle Deals platform and the Circle Channels designated for Providers (including relevant chats and events), subject to moderation and Circle Standards.
3.3 Authorised representative. Your application must be made by a person who holds an authorised position at your company and has authority to represent it and to accept these Terms on its behalf.
3.4 Team seats. Your plan includes a number of team seats, as described on the pricing page and in your order confirmation. You are responsible for all activity of your team members and for ensuring that they comply with the Terms and Circle Standards.
3.5 The Company may change, restrict, suspend, or remove access to any Circle Channel where reasonably necessary for integrity, safety, compliance, or standards enforcement.
4. Application and verification
4.1 Provider admission typically involves: an application; an introductory call; completion of the verification questionnaire and any requested supporting information; verification; and onboarding.
4.2 Verification may include interviews or calls, identity verification through a third-party provider, checks using publicly available information (OSINT), checks against public registers, the use of third-party verification or screening services, and requests for documents or evidence.
4.3 Verification supports access decisions and moderation. It is not a guarantee of service quality, licensing status in any jurisdiction, solvency, compliance, or suitability for any matter.
4.4 The Company may approve or refuse admission at its discretion, including for integrity, standards, compliance, or risk-management reasons.
4.5 The Company may re-review your status at any time if your circumstances change or if it receives information relevant to Circle Standards.
5. Fees, billing, and payment
5.1 All fees are stated in euros (EUR) and processed by our payment provider, Stripe. Where agreed in writing, the Company may accept payment by invoice or bank transfer.
5.2 Plans and fees. Provider membership is offered on annual plans (currently Core, Team, and Group), with an Enterprise option available by arrangement. The fee for each plan, together with the plan's features and limits (including team seats, jurisdiction coverage, and offer allowances) and any optional add-ons, are as set out on the Circle pricing page and in your order confirmation at the time of purchase. The Company may change its plans, fees, features, and limits from time to time; changes apply to your membership from your next renewal unless stated otherwise or required by law.
5.3 Annual term, paid in advance. Provider membership is an annual subscription, payable in advance for a 12-month subscription period. There is no monthly plan for Providers.
5.4 Auto-renewal. Your annual subscription renews automatically at the end of each subscription period at the then-current fee for your plan, unless you cancel before the renewal date. For card payments, the renewal fee is charged automatically through Stripe. For invoice arrangements, the Company issues an invoice for the renewal term. By taking out a paid subscription, you authorise the Company to take or invoice the renewal fee.
5.5 Add-ons. Optional add-ons (for example, additional team seats or jurisdictions) may be available as described on the pricing page. Once added, an add-on is committed for the remainder of your then-current subscription term, is charged on a pro-rata basis from the date it is added, cannot be removed mid-term, and may be dropped only at renewal. Add-ons run co-terminously with your base subscription.
5.6 Taxes. Fees are exclusive of any applicable taxes. The Company does not add UK VAT at this time. You are responsible for any taxes applicable to you. Payment-processing fees charged by the payment provider are borne by the Company. If any deduction or withholding is required by law on a payment to the Company, you remain responsible for ensuring the Company receives the full invoiced amount, unless prohibited by law.
6. Refunds, cancellation, and service delivery
6.1 No refunds. Except as set out in clause 6.2, all fees are non-refundable. Once the Company grants you access to the Circle Deals platform and Circle Channels and completes onboarding, the annual fee is non-refundable, and there are no pro-rata refunds or credits for unused time, early termination, or suspension, except where a refund is required by law.
6.2 Refund on refused admission. If you pay the annual fee in advance and the Company then refuses your admission following verification, the Company will refund that fee (to the original payment method, or by bank transfer where paid by invoice), subject to reasonable fraud and compliance checks. This is the only circumstance in which a fee is refundable, other than where a refund is required by law.
6.3 Cancellation. You may cancel auto-renewal at any time before the next renewal date. Cancellation stops the next renewal charge. Your access continues until the end of the subscription period you have already paid for, and is not extended or refunded.
6.4 Service-delivery milestone. For the purposes of these Terms, the Company's service is delivered when it grants you access to the Circle Deals platform and Circle Channels and completes onboarding in a reasonable manner.
6.5 Termination. Termination, suspension, or removal from Circle does not entitle you to any refund, except as expressly stated in clause 6.2 or where required by law.
6.6 Re-joining after lapse. If your subscription ends and is not renewed, your membership lapses. To return to Circle, you may be required to re-apply and complete verification again before re-activation, and the plan fees applicable at that time will apply.
7. Provider obligations and standards
7.1 You must comply with Circle Standards, moderation decisions, and the Platform Terms, including confidentiality and closed-network obligations.
7.2 You must ensure that your public profile, claims, and any statements you make within Circle are accurate and not misleading.
7.3 You remain solely responsible for:
- your professional obligations, licences, registrations, and regulatory compliance;
- confidentiality owed to your clients and third parties;
- the quality and delivery of your services.
7.4 You must not represent that Circle guarantees your services or any outcome.
8. No commission and no involvement in transactions
8.1 The Company may facilitate introductions and connections between Members. It does not negotiate commercial terms and does not handle funds between Members.
8.2 The Company does not charge any commission on Deals between Providers and Agents or other partners.
8.3 You are solely responsible for your commercial arrangements with other Members and with your clients, including any fees, commissions, white-label terms, or contractual terms you agree.
9. Provider referral programme (subscription extension)
9.1 Purpose. The Company may operate a referral programme under which eligible Providers receive subscription-time extensions for referring new Providers to Circle.
9.2 Eligibility. To receive a referral benefit, the referring Provider must hold an active annual subscription at the time of the referral and at the time the benefit is applied, and must make the introduction in the manner the Company requests.
9.3 Qualifying referral. A referral qualifies only if the referred party is a new Provider applicant (not previously a Circle Provider) who is admitted and pays the applicable annual fee.
9.4 Benefit and limits. The benefit, its amount, and any limits or exclusions (including exclusion of self-referrals, circular referrals, fraud, misrepresentation, or referrals that breach Circle Standards) are as the Company specifies for the programme.
9.5 Discretion and changes. The referral programme is optional and discretionary. The Company may change, suspend, or withdraw it at any time. Changes apply prospectively.
10. Anti-bribery, sanctions, and AML/CTF compliance
10.1 You represent and warrant that you and your authorised representatives comply with all applicable anti-bribery and anti-corruption laws, including the UK Bribery Act 2010, and that you will not offer, promise, give, request, or accept any bribe or improper payment in connection with Circle-related activities.
10.2 You represent and warrant that you comply with applicable sanctions laws and regulations (including UK, US, EU, and other applicable sanctions regimes), export controls, and anti-money-laundering and counter-terrorist-financing laws in the jurisdictions relevant to your operations.
10.3 You must not use Circle, the Platform, or any Circle Channel to facilitate or attempt to facilitate:
- sanctions evasion or circumvention;
- unlawful financial transactions;
- money laundering, terrorist financing, or dealings with the proceeds of crime;
- any activity that would breach applicable laws or international sanctions frameworks.
10.4 You must promptly notify the Company if you become the subject of sanctions, an enforcement action, or a credible investigation relating to bribery, corruption, sanctions, or AML/CTF compliance relevant to your Circle participation.
10.5 A breach of this clause is grounds for immediate suspension or termination of Provider membership, without prejudice to the Company's other rights or remedies.
11. Suspension, termination, and re-assessment
11.1 The Company may suspend or terminate Provider membership in line with the Platform Terms, including where:
- you breach confidentiality or closed-network obligations;
- you engage in misrepresentation or unlawful conduct;
- you no longer meet Circle Standards; or
- continued participation presents unacceptable risk to Circle.
11.2 Where appropriate, the Company may offer a re-review if your circumstances have materially changed.
12. Liability, refunds, and relationship with the Platform Terms
12.1 Refunds are governed exclusively by clause 6. For the avoidance of doubt, nothing in the limitation-of-liability provisions of the Platform Terms creates any right to a refund or credit.
12.2 The limitation of liability in the Platform Terms applies to these Provider Terms.
13. Governing law and jurisdiction
13.1 These Provider Terms and any dispute or claim arising from them are governed by the laws of England and Wales.
13.2 The courts of England and Wales have exclusive jurisdiction, subject to any mandatory rules that cannot be excluded.
